Terms of Service

These Terms of Service ("Terms") govern your use of the QUYP platform operated by QUYP ("QUYP", "we", "us") at http://95.179.252.61:8081/QUYP and its related subdomains (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

1. The Service

QUYP lets you design AI-generated virtual personas, generate images and videos for them with third-party AI models, plan a publishing calendar and publish content to social media accounts that you connect. Features, limits and prices depend on your subscription plan and are shown in the Service.

2. Eligibility and account

• You must be at least 18 years old and able to enter into a binding contract.
• You must provide accurate information and keep your login credentials confidential. You are responsible for all activity under your account.
• One person or organization may not create multiple accounts to circumvent plan limits.

3. Plans, credits and payment

• Paid plans renew automatically each billing period until cancelled. Monthly credits reset at the start of each period and do not carry over unless stated otherwise; purchased credit packs do not expire while your account is active.
• Credits are consumed only for successful generations. Failed generations are not charged.
• Prices may change; changes apply from your next billing period after notice.
• Except where required by law, payments are non-refundable.

4. Your content and personas

• You retain ownership of prompts, persona definitions and other material you provide. You grant us a licence to store, process and transmit that material as needed to operate the Service, including sending it to AI providers and to the social platforms you connect.
• Subject to the AI providers' terms, you may use the generated images and videos for your personas. We make no claim to them beyond what is needed to operate the Service.
• Personas are fictional, synthetic identities. You may not create a persona that impersonates a real person, uses the name, likeness or voice of a real person without their written consent, or presents synthetic content as real footage of real events.
• You are responsible for disclosing the synthetic nature of your personas where the law or a platform requires it.

5. Connected social media accounts

• By connecting an account you authorize us to publish, on your instruction and schedule, the content you prepared in the Service, and to read the information needed to display the account and the status of your posts.
• You must own the connected account or have the account owner's permission, and you must comply with the platform's terms, community guidelines and disclosure rules for AI-generated or branded content.
• Platforms may change or restrict their APIs; some platforms limit unreviewed apps to private posts or test accounts. We do not guarantee that any platform will remain available.
• You may disconnect an account at any time; stored tokens are deleted immediately.

6. Acceptable use

You may not use the Service to create, publish or promote content that:

• is illegal, defamatory, harassing, hateful or incites violence;
• is sexually explicit, or sexualizes minors in any form;
• infringes intellectual property, privacy or publicity rights;
• is deceptive, including impersonation, scams, coordinated inauthentic behaviour or undisclosed advertising;
• violates the policies of the AI providers or social platforms involved;
• attempts to probe, overload or interfere with the Service or to access other users' data.

We may apply automated and manual safety checks and may refuse, delay or remove content that violates these rules.

7. Automation

If you enable assisted or pre-authorized automation, the Service may generate content and schedule or publish posts within the scope you configured. You remain responsible for everything published from your connected accounts and should review the calendar regularly. You can change the automation mode or scope at any time.

8. Marketplace

Where available, the Quyp Market connects advertisers with publishers. Additional terms shown at the time of use apply to marketplace transactions.

9. Intellectual property of the Service

The Service, its software, design and trademarks belong to QUYP or its licensors. You may not copy, modify, reverse engineer or resell the Service.

10. Suspension and termination

You may close your account at any time (see the Data deletion page). We may suspend or terminate accounts that violate these Terms, create legal risk or remain unpaid. On termination your right to use the Service ends and your data is deleted according to the Privacy Policy.

11. Disclaimers

The Service is provided "as is" and "as available". AI output can be inaccurate, biased or unexpected; review it before publishing. We do not guarantee uninterrupted operation, specific results, follower growth or revenue.

12. Limitation of liability

To the extent permitted by law, QUYP is not liable for indirect, incidental, special or consequential damages, loss of profits, data or goodwill arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

13. Indemnity

You will indemnify us against claims arising from your content, your personas, your connected accounts or your breach of these Terms or of a third-party platform's rules.

14. Changes to the Terms

We may update these Terms. Material changes will be announced in the dashboard or by email at least 14 days before they take effect. Continued use after that date means you accept the new Terms.

15. Governing law

These Terms are governed by the laws of the country where QUYP is established, without regard to conflict-of-law rules. Mandatory consumer protection rules of your country of residence are not affected.
